TERMS OF USE

These Terms of Use (“Terms”) govern access to and use of the website located at customrobotics.io and any associated subdomains or digital properties operated by Custom Robotics of La Jolla LLC (“CRLJ,” “Company,” “we,” “us,” or “our”) (collectively, the “Site”).

By accessing or using the Site, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Eligibility and Use of the Site

The Site is intended for use by individuals who are at least eighteen (18) years of age. By using the Site, you represent and warrant that you meet this requirement. The Site includes an educational section known as the “Jr. Bot Zone,” which is designed to introduce younger audiences to concepts in robotics and innovation. Access to educational content does not create any contractual relationship or professional advisory relationship between the Company and the user. You agree to use the Site only for lawful purposes and in compliance with all applicable laws and regulations.

2. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, design elements, logos, audiovisual materials, software code, technical descriptions, and proprietary concepts, is owned by Custom Robotics of La Jolla LLC or its licensors and is protected by intellectual property laws of the United States and other jurisdictions.

You may view, download, or print materials from the Site solely for informational, non-commercial purposes. No content may be copied, reproduced, modified, distributed, displayed, published, transmitted, or otherwise exploited without prior written consent from the Company. Unauthorized use of Site content may violate copyright, trademark, patent, and other applicable laws.

3. Patent and Innovation Notice

Certain technologies described on the Site, including The Skollar™ visual interface system and related safety integrations, are subject to pending patent applications and other intellectual property protections.

The founder of Custom Robotics of La Jolla has previously been issued U.S. Patent No. 4,846,831 in connection with prior innovations. Reference to this patent is provided to reflect the founder’s history of innovation and does not imply that current Company technologies are covered by that patent unless expressly stated. Nothing on the Site grants any license, express or implied, to any intellectual property rights of the Company or its affiliates.

4. Trademarks

The Skollar™, White Cap Legacy, the Custom Robotics name, logos, and related marks are trademarks or service marks of Custom Robotics of La Jolla LLC. All other trademarks referenced on the Site are the property of their respective owners. Unauthorized use of any trademarks displayed on the Site is strictly prohibited.

5. Investor Relations Disclaimer

Information contained on the Site, including projections, growth strategies, charts, or forward-looking commentary, is provided for informational purposes only. Nothing on the Site constitutes:

  • An offer to sell or a solicitation of an offer to buy securities
  • Investment advice
  • A recommendation to enter into any financial transaction

6. Aftermarket and Robotics Disclaimer

CRLJ designs and supplies aftermarket aesthetic, functional, and safety-related integrations for robotic platforms. CRLJ is not the manufacturer of primary robotic hardware systems. The Company disclaims responsibility for:

  • Mechanical or electrical failures of underlying robotic platforms
  • Software defects or system malfunctions
  • Improper installation or integration
  • Modifications performed by third parties
  • Use outside documented specifications
  • Damage or injury resulting from misuse

Except where governed by a separate written agreement, products and information provided through the Site are supplied “as is” and without warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. Educational Content Disclaimer (Jr. Bot Zone)

The Jr. Bot Zone is provided for general educational and inspirational purposes. It does not constitute professional instruction, certification, engineering guidance, or safety training. The Company makes no representations regarding the completeness or suitability of educational materials for specific applications. Parents and guardians are responsible for supervising children’s use of the Site.

8. User Conduct

You agree not to:

  • Use the Site for unlawful purposes
  • Interfere with Site security or functionality
  • Attempt to gain unauthorized access to systems or data
  • Reverse engineer or attempt to extract proprietary information
  • Introduce malicious code, viruses, or harmful materials

The Company reserves the right to restrict or terminate access for violations of these Terms.

9. Third-Party Links

The Site may contain links to third-party websites or services. These links are provided for convenience only. CRLJ does not control and is not responsible for the content, policies, or practices of third-party platforms. Accessing third-party sites is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, Custom Robotics of La Jolla LLC shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from or relating to:

  • Use or inability to use the Site
  • Reliance on Site content
  • Interaction with third-party services
  • Aftermarket product integration

This limitation applies even if the Company has been advised of the possibility of such damages. In jurisdictions where certain limitations are not permitted, liability shall be limited to the maximum extent allowed by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Custom Robotics of La Jolla LLC and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, losses, or expenses arising out of:

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

13. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in San Diego County, California. You waive the right to a jury trial and agree not to participate in class or representative actions. If any portion of this arbitration provision is found unenforceable, the remaining provisions shall remain in effect.

14. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Modifications to Terms

CRLJ reserves the right to modify these Terms at any time. Updated Terms will be reflected by the revised “Last Updated” date. Continued use of the Site following modifications constitutes acceptance of the revised Terms.
